UGC Contract Template for Brands: A Clause-by-Clause Checklist
Free UGC contract template for brands: 13 clauses covering raw footage, hook variations, revisions, paid usage rights, Spark Ads and AI edits, plus red flags.
A UGC contract template does a different job from an influencer contract. The brand is not buying a post on a creator's feed; it is buying files it plans to edit, test and run as ads. That shifts the disputes to definitions: what raw footage includes, whether a hook counts as a new video, when a revision becomes a reshoot, and how long the brand may keep running a creator's face in paid ads. This guide breaks a UGC agreement into 13 clauses, with what to write in each, the trap it prevents and what it usually adds to the price, then gives a copy-ready template.
The first five clauses define the files. Attach the brief by date and treat later brief changes as new work. Specify concepts, length, aspect ratio, resolution, file type, audio and captions. Define a concept, a filmed hook and a cut-down, with a count of each. Say exactly what raw footage means, for example every usable take at original resolution with sound plus a named B-roll list, and license it on the same terms as the final videos. Count deadlines from product delivery so shipping delays never count against the creator.
Revisions and payment come next. Agree which changes are included rounds, which need a reshoot and who pays for each: a draft that misses a written must-have is on the creator, while a brief change after filming is new work the brand pays for. Tie approval to the brief's must-haves, set a feedback deadline, and pay on approval rather than on publication, because UGC may never be posted. Collect an invoice and a W-9 from US creators; for payments made in 2026 the 1099-NEC threshold is $2,000.
The usage license should name exclusive or non-exclusive use, the channels, organic and paid terms, territory, who else may use the content, what happens when a term ends and the renewal price. Non-exclusive is the usual UGC default, and the creator keeps ownership unless a signed agreement transfers it. Ads from the creator's own handle need more: TikTok Spark Ads run organic posts, so the creator must post the video and generate an authorization code, and Instagram partnership ads need the creator's ad permissions and no licensed music.
Edits, likeness and AI deserve their own clause. Trims, captions, logos and combining clips from the same shoot can sit inside the license. AI voice clones, face swaps, new generated scenes or words the creator never said need separate written consent, a described use and a fee. The last two clauses cover the exits and product use: agree a kill fee before filming, write a minimum use period into the contract, attach the talking points the creator can use, and if the creator posts the video, ask them to switch on the platform's paid-partnership label and say it is sponsored.
Pricing follows the clauses. Later's 2026 guide treats paid-ads or whitelisting usage as roughly 30 to 50 percent on top of the base rate, and says exclusivity and rush timelines cost extra; Collabstr's 2026 data puts the average paid UGC collaboration on its marketplace at $154. On Aurelia, the creator agreement is generated from the brand's UGC campaign, with optional paid-ads (3, 6 or 12 months) and exclusivity (30, 60 or 90 days) clauses, or the brand uploads its own. Creators accept and sign in one step, the brand countersigns everyone at once, creators are paid after approval, and usage rights are recorded automatically at closeout.
