Influencer Contract Template: 14 Clauses Every Brand Needs (Usage Rights, Exclusivity, Paid Ads)

Free influencer contract template for brands: 14 clauses in plain English, from usage rights and paid ads to exclusivity, plus a one-page gifted agreement.

An influencer contract template is useful when it answers the questions that come up in every collaboration: what exactly gets made, when the creator is paid, whether the brand can run the content as an ad, and what happens if either side walks away. This guide covers the 14 clauses a brand-side agreement needs, gives the usual options and a red flag for each, and includes a plain-English template with bracketed placeholders plus a one-page agreement for gifted collaborations. It is general information, not legal advice, so have a lawyer review the final agreement.

The 14 clauses fall into four groups. The deal: parties, deliverables, timeline, review and revisions, compensation and payment timing, product and shipping. The disclosure: the exact wording and where it goes. The rights: ownership and license, paid ads, exclusivity. The exits: termination and kill fee, brand safety, AI and likeness edits, governing law and disputes. Write the brief first and have the contract refer to it by date, so the creative direction and the obligations always match.

Gifted collaborations need a written agreement too, just a shorter one: state whether a post is required or optional before the product ships. A written agreement does three jobs. It turns the brief into obligations, it records what the brand may do with the content afterwards, and it puts the disclosure wording in one place so every creator labels the post the same way. Filling in two pages takes about an hour, and both sides start the campaign knowing what was agreed.

The disclosure clause is one short clause. Name the wording and placement, such as #ad or “Paid partnership with @brand” at the start of the caption, and ask for the platform’s label as well: Instagram’s Paid Partnership label, TikTok’s commercial content toggle or YouTube’s paid promotion box. In video, creators say it out loud and show it on screen, and for gifted product “Gifted by @brand” works. Ask for the creator’s own opinion, list your talking points in the brief, and agree that a missing label gets added within 24 hours.

Usage rights, paid ads and exclusivity carry the most money. A license should state what the brand can do, where, for how long and at what price; paid ads need their own clause covering platforms, term and whether ads run from the creator’s handle, plus the in-platform permission such as a Spark Ads code. Later’s 2026 guide puts whitelisting or paid usage at roughly 30 to 50 percent on top of the base rate. Exclusivity should be narrow, time-limited and paid separately.

The influencer agreement template on this page is free to copy into Word or Google Docs: replace every bracket, mark unused optional clauses as not used so the numbering holds, attach the brief as Exhibit A, negotiate with tracked changes, then export one PDF to sign. New York State’s Department of Labor publishes a free six-page model Freelance Worker Agreement, which has no disclosure, paid-ads or exclusivity clause. An agency contract is a different document from the brand contract: when an agency signs the creators, ask for the creator agreement it uses and check that the content license names your brand.

Common red flags include perpetual, worldwide rights for a single posting fee, paid-ad rights implied by an organic license, category-wide exclusivity without extra pay, unlimited revisions, pay that depends on a positive review, and payment terms with no date. On Aurelia, the creator agreement is generated from the campaign itself, covering deliverables, pay, dates, review and changes, product, disclosure and usage, with optional paid-ads and exclusivity clauses. Creators accept and sign in one step, the brand countersigns everyone at once, every signed agreement gets a signature certificate, and usage rights are recorded automatically at closeout.
